1-Generalities
Iran Group of Surveyors, IGS, is an independent survey and inspection company that operates with complete impartiality. It has the right of interpreting the technical rules and regulations with respect to inspections and shipbuilding and reserves this right while performing these interpretations with utmost care and diligence.
2-Limited Liability Condition
IGS approves and confirms certificates that its surveyors/inspectors issue with respect to the conformity of products with technical inspection rules and regulations based on reasoning and on evidence. No comment on the conformity of the product with regulations/specifications can or shall be made by IGS with respect to certificates issued by other firms/organizations.
3-Protection of Rights
The application of the rules of inspection by IGS and the consequent confidentiality does not in any way negatively affect the rights of third parties. Furthermore these rules are always applied without prejudice, equally to all cases and clients.
4-Archive of Documents
IGS is responsible for preserving all documents and information on and related to the cases received from clients, and shall treat them all with complete confidentiality. Such documents and information may only be handed over to third parties if the written consent of the client has been obtained. Thus, to deliver such documents or items of information to third parties, it is necessary to obtain a separate letter of consent from the client. Treating documents and information with strict confidentiality, however, shall not affect the commitments and duties of IGS before competent government/legal authorities.
5-Responsibilities
5-1- IGS shall make all efforts possible to choose inspectors, surveyors and experts who are capable of offering appropriate services towards meeting their commitments and attaining the relevant objectives.
5-2- The commitments and conditions that IGS has set for itself towards meeting its objectives and duties, reserve the right for the client in question to demand, where a fault has been found by any one of IGS inspectors/surveyors, that the fault be eradicated unless IGS finds that such eradication negatively affects the qualities demanded by law, in which case the client may not demand such an eradication.
5-3- Certificates are issued for products or vessels on the understanding that the product or vessel, at the time of inspection, has been in compliance and conformity with regulations and standards and of sufficient safety. It is the duty of the owner or user of the product or vessel to keep it in the same satisfactory and safe condition as found at the time of inspection, during the entire period of validity of the certificate.
5-4- Certificates issued by IGS confirm at the same time that the quality of the material used and the quality of work and other services performed by the relevant parties such as the designer, manufacturer, quality controller, contractor and subcontractors have all been done properly but the certificate does not take the user into consideration and therefore the user is not exempted from his duties as regards the maintenance and the safety of the item in question. Therefore the user remains responsible for the item’s proper maintenance and safety during the period of validity of the certificate.
5-5- The commitments of IGS vis-à-vis the clients shall be valid only if the clients (owners/users) take appropriate and sufficient action to maintain the item in question and observe the relevant regulations, instructions and standards in this regard and employ people and workers who hold valid certificates.
5-6- Should any client sustain losses/damages as a result of using the services, views/consultations, or information provided by IGS, or coming from any agent working in the branches of IGS, and it be proved that the agent of IGS is responsible for the loss/damage then IGS shall make reparations but the amount of reparations shall not in any circumstance exceed three times the amount of fees received from the client for the same case.
5-7- Any claim that may arise with respect to such losses/damages as outlined in Paragraph 5-6 above, must be notified to IGS within six months from the date the service has been performed by IGS for the client with respect to the damage/loss in question, otherwise the claim shall not be valid.
6-Territory/Courts of Jurisdiction
The authorities/courts and the laws governing the settlement of disputes between IGS and any of its clients shall be those of the Islamic Republic of Iran. However, IGS has the right to select an authority/court that is as competent as the courts of the place of residence of the client.
However, should the two sides decide to resort to arbitration before referring to a court then the place of arbitration would be Iran and the prevailing law, that of the Islamic Republic of Iran.
7-Severability
Should any part of the provisions and conditions here stated lose its validity and become ineffective for any reason, the remaining provisions and conditions shall not be affected and shall remain valid. In case of any doubt or misunderstanding as to the provisions here stated the Persian version shall prevail and rule, and should be considered as the basis.
